Knowledgefront Ltd Library Content Terms & Conditions

 

1. License Grant and Term

  • On payment of invoice, Knowledgefront Ltd ("Licensor") grants the client ("Client") a non-exclusive, non-transferable license to use the e-learning module for a period of one year from the date of this agreement. The license may be extended for additional years upon payment of the applicable fees.

2. Intellectual Property

  • The intellectual property rights of the core content of the e-learning module remain the property of the Licensor.

  • The intellectual property rights of any customized content created specifically for the Client will be owned by the Client.

  • No part of the module(s) may be reproduced by any means without the specific permission of the Licensor.

3. Usage Restrictions

  • The Client is permitted to use the content only for the duration of the license period. For multiple years of use, the Client must pay for each additional year.

  • Only employees and associated representatives of the Client are allowed access to the e-learning module unless written permission is granted by a Director of the Licensor.

4. Accuracy and Liability

  • The Licensor has made every effort to ensure the accuracy of the information contained within the e-learning module. However, the Licensor is not liable for any inaccuracies or any actions taken by the Client or its employees as a result of using the content.

5. Confidentiality

  • Both parties agree to treat as confidential all information obtained from the other party as a result of this agreement. Such information shall not be disclosed to any third party without the prior written consent of the other party, except to those officers, employees, advisors, and agents whose responsibilities require them to know the same.

6. Payment Terms

  • Annual renewal fees are due and payable in advance. The renewal fee for any renewal period shall not be less than the initial annual fee and may be subject to increases.

  • the Licensor reserves the right to restrict or close access to the e-learning module if payment is not made within 90 days. This right will not be exercised if the Client is disputing charges reasonably, in good faith, and is cooperating diligently to resolve the dispute.

7. Termination

  • Either party may terminate this agreement with immediate effect if the other party breaches any of its obligations under this agreement and fails to remedy such breach within 30 days of receiving written notice.

8. Governing Law

  • This agreement shall be governed by and construed in accordance with the laws of England.

9. Entire Agreement

  • This agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and representations.

10. Acceptance of Terms

  • Payment of the corresponding invoice for use of the e-learning module indicates acceptance of these terms and conditions.
